Terms of Service

Welcome to Cloud Premises Technologies Private Limited ("we," "our," or "us"). By accessing or using our SaaS products, SAP services, cloud solutions, website, or related services (collectively, the "Services"), you agree to comply with and be bound by these Terms of Service ("Terms").

Please read these Terms carefully. If you do not agree, do not use our Services.


1. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

These Terms apply globally to all users, including enterprise clients and individual users.


2. Use of Services

You agree to:

  • Use the Services only for lawful business purposes in accordance with applicable laws and regulations
  • Not engage in fraudulent, malicious, or unauthorized activities
  • Not attempt to gain unauthorized access to the Services, systems, or data
  • Not interfere with the security, performance, or integrity of the Services
  • Comply with all applicable export control and sanctions laws

You may use the Services only as intended and in accordance with these Terms.


3. Account Registration and Enterprise Access

Some features of the Services require creating an account. You agree to:

  • Provide accurate and complete business information
  • Maintain the confidentiality of your account credentials and API keys
  • Be responsible for all activity under your account
  • Notify us immediately of unauthorized use or security breaches

We reserve the right to suspend or terminate accounts for violations, security concerns, or suspicious activity.


4. Subscription, Billing, and Payments

For subscription-based Services:

  • Payments are processed via secure enterprise payment gateways
  • Enterprise pricing and applicable taxes are specified in service agreements
  • Subscription terms, renewal, and cancellation policies are outlined in service agreements
  • We are not liable for issues arising from payment processor platforms

5. Intellectual Property

All content, software, designs, logos, APIs, and other materials related to Cloud Premises Technologies are owned by us or our licensors.

You may not:

  • Copy, reproduce, modify, distribute, or create derivative works without express written consent
  • Reverse engineer, decompile, or disassemble our software
  • Use our trademarks, branding, or intellectual property without authorization

6. Data and Privacy

We process your data in accordance with our Privacy Policy, and you agree to:

  • Provide accurate data for service delivery and account management
  • Allow us to collect and process data for service functionality, security, and compliance
  • Implement appropriate security measures for your account and data access
  • Comply with data protection laws applicable to your use of our Services

7. Service Availability and SLAs

We strive to maintain high service availability but do not guarantee uninterrupted service. Specific Service Level Agreements (SLAs) are provided in enterprise contracts.

We are not liable for:

  • Downtime due to maintenance, force majeure, or circumstances beyond our control
  • Loss of data due to technical issues, provided we have implemented reasonable backup procedures
  • Performance issues related to third-party integrations or customer infrastructure

8. Limitation of Liability

To the maximum extent permitted by law:

  • Cloud Premises Technologies is not liable for indirect, incidental, or consequential damages from using or inability to use the Services
  • Total liability for any claim shall not exceed the fees paid for the Services during the six months preceding the claim

The Services are provided "as-is" without warranties of any kind, unless specified in a separate enterprise agreement.


9. Indemnification

You agree to indemnify and hold harmless Cloud Premises Technologies, its employees, affiliates, and partners from any claims, damages, or expenses arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of any applicable laws or third-party rights
  • Your content or data processed through our Services

10. Termination

We may suspend or terminate your access at our discretion, including:

  • Material breach of these Terms
  • Illegal or harmful activity
  • Non-payment for subscription services
  • Security concerns or violations

Termination does not relieve you of obligations incurred prior to termination.


11. Changes to Terms

We may update these Terms to reflect changes in services, laws, or business practices. Updated Terms will be posted on our website with appropriate notice. Continued use of Services constitutes acceptance of updated Terms.


12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be resolved through good-faith negotiations, and if unresolved, through arbitration in Hyderabad, Telangana in accordance with the Arbitration and Conciliation Act, 1996.
